Welcome to payKali! These Terms of Service ("Terms") govern your access to and use of the payKali software, website, and services (collectively, the "Service"). Please read these Terms carefully.
By creating an account, or by accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
1. The Service
payKali provides a software platform designed to enable participation in the Agentic Economy.
2. Accounts
To use the Service, you must register for an account. You agree to provide accurate, complete information and keep it updated. You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
3. Fees and Payment
Subscriptions
Access to certain parts of the Service may require a subscription. Fees are billed on a recurring basis (e.g., monthly or annually) as specified at the time of purchase. All fees are due in advance.
In-App Purchases
The Service may offer additional products or features for purchase ("In-App Purchases"). Any such purchases are separate from your subscription and will be explicitly agreed upon and approved by you before you are charged.
Failed Payments
If your payment method fails, or your account is otherwise past due, we may, without notice, suspend or terminate your access to the Service.
Fee Changes
We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any fee changes.
4. User Content and Responsibility
"User Content" means any and all information and content that a user submits to the Service, such as account data, documents, financial data, and other materials.
You are solely and exclusively responsible for your User Content.
You assume all risks associated with the use of your User Content, including any reliance on its accuracy, completeness, or legality. By uploading User Content, you represent and warrant that:
- •You are the rightful owner of the User Content or have all necessary rights and permissions to use it and grant payKali the license to use it as described in these Terms.
- •Your User Content does not violate any laws, regulations, or third-party rights, including privacy and intellectual property rights.
- •All information you provide is accurate, lawful, and not misleading.
You grant payKali a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of operating and providing the Service to you.
5. Acceptable Use Policy
You agree not to use the Service to collect, upload, or distribute any User Content that is unlawful, harassing, abusive, or otherwise objectionable. You further agree not to:
- •Use the Service for any criminal activity or to violate any applicable laws.
- •Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.
- •Use the Service to transmit viruses, worms, or any other malicious software.
- •Impersonate any person or entity.
6. Termination
Termination by You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting us.
Termination by payKali
We may, in our sole discretion, suspend or terminate your access to the Service at any time, for any reason, including for a breach of these Terms or for non-payment. Except where we believe, in our sole discretion, that your actions may constitute criminal activity, we will inform you of the reason for termination at that time. Upon termination, your right to use the Service will immediately cease. We will handle the deletion of your data as described in our Privacy Policy.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. PAYKALI EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR BE ACCURATE AND RELIABLE.
8. Limitation of Liability
IN NO EVENT SHALL PAYKALI, ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PAYKALI IS NOT LIABLE FOR ANY DISPUTES, CLAIMS, LOSSES, INJURIES, OR DAMAGES OF ANY KIND THAT MIGHT ARISE OUT OF OR RELATE TO YOUR RELATIONSHIP WITH ANY THIRD PARTIES.
OUR TOTAL LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) FIFTY US DOLLARS ($50) OR (B) THE AMOUNTS YOU HAVE PAID TO PAYKALI IN THE PRIOR 12 MONTHS (IF ANY).
9. Governing Law and Dispute Resolution
Governing Law
These Terms and any dispute arising out of or related to them will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Binding Arbitration
YOU AGREE THAT ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT.
Class Action Waiver
YOU AND PAYKALI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
10. General Terms
Entire Agreement
These Terms constitute the entire and exclusive agreement between payKali and you regarding the Service.
Changes to Terms
We may modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on our site or by sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
